Carpas y Banderas — Terms and Conditions
Effective Date: August 20, 2026
These Terms and Conditions ("Terms") govern all purchases, orders, products, services, communications, quotes, invoices, proofs, and transactions provided by Carpas y Banderas ("Carpas y Banderas," "Company," "we," "us," or "our").
By placing an order, making a payment, accepting a quote or invoice, approving a proof, authorizing work to begin, or otherwise purchasing or receiving Products or services from Carpas y Banderas, you agree to be legally bound by these Terms.
1. Definitions
For purposes of these Terms:
"Company," "Carpas y Banderas," "we," "our," or "us" means Carpas y Banderas and its owners, representatives, contractors, suppliers, production partners, and authorized agents.
"Customer," "Client," or "you" means any person or entity purchasing, ordering, approving, receiving, or authorizing the purchase of Products or services.
"Products" means all goods and services offered by Carpas y Banderas, including but not limited to custom tents, canopies, pop-up tents, printed tents, flags, banners, table covers, promotional displays, accessories, replacement parts, graphic design services, printed materials, hardware, and related products.
"Order" means any purchase, invoice, quote acceptance, deposit, payment, proof approval, electronic authorization, written confirmation, or other transaction submitted to or accepted by Carpas y Banderas.
"Proof" means any mockup, rendering, design, digital preview, artwork, layout, specification sheet, production file, or other representation of a Product provided to the Customer for review or approval.
"Business Days" means Monday through Friday, excluding applicable federal holidays.
2. Acceptance of Terms
These Terms become binding when any of the following occurs:

an Order is placed;
-
a deposit or payment is made;
-
a quote or invoice is accepted;
-
a Proof is approved;
-
the Customer authorizes Carpas y Banderas to begin work;
-
design, sourcing, production, or preparation begins at the Customer's request; or
-
the Customer accepts delivery or possession of a Product.
Electronic approvals, text messages, emails, online communications, electronic signatures, and payment confirmations may be used as evidence of Customer authorization and acceptance.
The person placing or approving an Order represents that they are at least eighteen (18) years old and have the legal authority to bind themselves or the business entity they represent.
3. Custom-Made Products and Final Sale Policy
3.1 Custom Nature of Products
Many Products sold by Carpas y Banderas are custom-made, personalized, printed-to-order, specially manufactured, or produced according to Customer specifications.
Customization may include, but is not limited to:
-
logos;
-
trademarks;
-
artwork;
-
colors;
-
dimensions;
-
layouts;
-
branding;
-
text;
-
quantities; and
-
other Customer-specific requirements.
Because custom Products are specifically produced for the Customer, they may not be suitable for resale, reuse, return to inventory, or sale to another customer.
The Customer acknowledges that custom Products require design, proofing, material allocation, sourcing, manufacturing, printing, quality control, and coordination with production and shipping partners.
3.2 Deposits and Initial Payments
Unless otherwise agreed in writing, a fifty percent (50%) payment is required before work begins.
The initial payment may be applied toward:
-
graphic design;
-
artwork preparation;
-
proof generation;
-
production planning;
-
sourcing;
-
supplier coordination;
-
administrative labor;
-
consultation;
-
materials;
-
production scheduling; and
-
allocation of production capacity.
Once work has begun or Carpas y Banderas has incurred costs in connection with the Order, the applicable deposit or initial payment is non-refundable to the maximum extent permitted by law.
3.3 Final Sale Policy
CUSTOM-MADE, PERSONALIZED, PRINTED-TO-ORDER, SPECIAL-ORDER, AND CUSTOMER-SPECIFIC PRODUCTS ARE FINAL SALE.
Except as required by applicable law or expressly agreed by Carpas y Banderas in writing, such Products are not eligible for:
-
cancellation;
-
return;
-
exchange; or
-
refund
once design work, artwork preparation, sourcing, production preparation, manufacturing, printing, or other Order-related work has begun.
A Customer's change of mind, business closure, event cancellation, scheduling issue, inability to use the Product, failure to obtain permits, financial circumstances, or other change in circumstances does not create a right to cancel or receive a refund.
4. Customer Cancellation and Abandoned Orders
If the Customer requests cancellation before work has begun, Carpas y Banderas may approve or deny the request at its discretion.
Once work has begun or costs have been incurred, cancellation does not eliminate the Customer's responsibility for:
-
completed work;
-
design services;
-
materials;
-
supplier commitments;
-
production costs;
-
administrative costs; or
-
other expenses associated with the Order.
If the Customer becomes unresponsive, fails to provide required information, fails to approve a Proof, or fails to pay the remaining balance, Carpas y Banderas may place the Order on hold.
If an Order remains inactive or unpaid for more than thirty (30) days, Carpas y Banderas may, subject to applicable law:
-
suspend work;
-
revise production or delivery timelines;
-
charge reasonable storage or administrative fees where permitted;
-
cancel unfinished portions of the Order;
-
retain amounts already paid to cover work performed and costs incurred; and/or
-
dispose of completed Products after reasonable notice where permitted by law.
An abandoned or inactive Order does not automatically create a right to a refund.
5. Pricing and Payments
5.1 Quotes
Quotes are valid for seven (7) calendar days unless otherwise stated in writing.
Pricing may change due to supplier pricing, material costs, shipping costs, tariffs, duties, taxes, or other factors before an Order is accepted and paid for.
Carpas y Banderas reserves the right to correct typographical, clerical, calculation, or pricing errors.
5.2 Remaining Balance
Unless otherwise agreed in writing, the remaining balance must be paid in full before shipment, delivery, release, or transfer of the Product.
Carpas y Banderas may suspend production or withhold shipment until all outstanding amounts are paid.
5.3 Late or Unpaid Balances
Overdue balances may accrue a service charge of up to 1.5% per month or the maximum amount permitted by applicable law, whichever is lower.
The Customer is responsible for reasonable costs incurred in collecting unpaid balances, including collection agency fees, attorney fees, court costs, and other legally recoverable expenses.
6. Payment Disputes, Chargebacks, Custom Products, and Delays
6.1 Chargebacks and Payment Disputes
UNAUTHORIZED, BAD-FAITH, OR IMPROPER CHARGEBACKS ARE NOT PERMITTED.
The Customer agrees that a chargeback, payment reversal, or payment dispute may not be used as a substitute for Carpas y Banderas' refund, cancellation, production, warranty, or dispute-resolution policies.
Because many Products sold by Carpas y Banderas are custom-made, personalized, printed-to-order, specially manufactured, or produced specifically according to the Customer's approved specifications, the Customer acknowledges that Carpas y Banderas may incur design, labor, material, supplier, manufacturing, printing, and production costs that cannot be recovered once work has begun.
Accordingly, the Customer agrees that they will not initiate a chargeback, payment reversal, or payment dispute solely because:
-
the Customer changes their mind;
-
the Customer no longer needs the Product;
-
an event is canceled, postponed, or rescheduled;
-
the Customer experiences financial difficulties;
-
the Customer fails to respond or delays approval;
-
the Customer decides they no longer wish to complete the Order;
-
the Product is custom-made and cannot reasonably be returned or resold;
-
the Customer approved the Proof or specifications and later wishes to make changes;
-
production or delivery takes longer than originally estimated; or
-
a delay occurs due to circumstances outside the reasonable control of Carpas y Banderas.
A delay, by itself, does not constitute fraud, non-delivery, non-performance, or grounds for a chargeback when the Product is actively being designed, produced, manufactured, sourced, shipped, or otherwise processed in accordance with the Order.
The Customer acknowledges and agrees that estimated production and delivery timelines are estimates only unless Carpas y Banderas expressly guarantees a specific date in writing.
6.2 Delays in Production, Manufacturing, and Delivery
The Customer understands that custom-made Products may require coordination between designers, production facilities, manufacturers, suppliers, printers, shipping carriers, and other third parties.
As a result, delays may occur due to circumstances including, but not limited to:
-
high production volume;
-
material availability;
-
supplier delays;
-
manufacturing delays;
-
printing delays;
-
quality-control issues;
-
artwork revisions;
-
delayed Customer responses or approvals;
-
customs processing;
-
carrier delays;
-
weather;
-
labor shortages;
-
transportation interruptions;
-
supply chain disruptions;
-
government actions; or
-
other circumstances outside the reasonable control of Carpas y Banderas.
Carpas y Banderas will make commercially reasonable efforts to complete and deliver the Order within the estimated timeframe. However, unless a specific delivery date is expressly guaranteed in writing, production and delivery dates are estimates and are not guaranteed.
A production, manufacturing, shipping, or delivery delay does not automatically entitle the Customer to:
-
cancel the Order;
-
receive a refund;
-
refuse payment of an outstanding balance;
-
refuse delivery of a completed Product; or
-
initiate a chargeback or payment reversal.
6.3 Required Good-Faith Resolution Process
Before initiating a chargeback or payment dispute, the Customer agrees to contact Carpas y Banderas and provide the Company with a reasonable opportunity to investigate and attempt to resolve the issue.
The Customer agrees to provide relevant information, photographs, videos, or other documentation reasonably necessary to evaluate the claim.
Where appropriate, Carpas y Banderas may offer:
-
additional information regarding the Order status;
-
correction of a verified production issue;
-
repair;
-
replacement;
-
warranty service; or
-
another commercially reasonable resolution.
Nothing in this section prevents a Customer from exercising rights that cannot legally be waived under applicable law.
6.4 Evidence of Customer Authorization and Performance
In the event of a payment dispute, chargeback, or other payment reversal, Carpas y Banderas may submit evidence demonstrating that the transaction was authorized and that work, production, shipment, or delivery occurred.
Such evidence may include:
-
invoices;
-
payment confirmations;
-
approved quotes;
-
approved Proofs;
-
emails;
-
text messages;
-
communication records;
-
screenshots;
-
production records;
-
supplier confirmations;
-
photographs or videos of the completed Product;
-
shipping records;
-
tracking information;
-
delivery confirmations; and
-
any other relevant documentation.
Approval of a Proof, payment of an invoice, authorization to begin work, or other documented Customer authorization may be used as evidence that the Customer approved the transaction and production of the custom Product.
6.5 Bad-Faith or Improper Chargebacks
If a Customer initiates a chargeback, payment reversal, or payment dispute in violation of these Terms or after receiving the Product, approving the Product, authorizing production, or otherwise accepting the benefits of the Order, Carpas y Banderas reserves the right, to the maximum extent permitted by law, to:
-
contest the dispute;
-
submit evidence to the payment processor or financial institution;
-
suspend warranty or future services while the dispute is pending where legally permitted;
-
seek recovery of the unpaid Order balance;
-
recover reasonable payment processor fees;
-
recover collection costs;
-
refer the unpaid balance to a collection agency; and/or
-
pursue other remedies available under applicable law.
Where permitted by law, the Customer may also be responsible for reasonable attorney fees, court costs, and other expenses incurred in recovering amounts wrongfully withheld.
Nothing in these Terms prohibits or limits a Customer from initiating a legitimate payment dispute or exercising consumer rights that cannot legally be waived.
7. Artwork, Intellectual Property, and Customer Content
7.1 Customer Responsibility
The Customer represents and warrants that they own or have obtained all necessary rights, licenses, permissions, and authority to use any:
-
logo;
-
trademark;
-
photograph;
-
artwork;
-
design;
-
text;
-
image;
-
slogan; or
-
other content
submitted to Carpas y Banderas.
Carpas y Banderas is not responsible for determining whether Customer-provided content infringes another party's intellectual property rights.
The Customer agrees to defend, indemnify, and hold harmless Carpas y Banderas from claims, damages, liabilities, costs, and expenses arising from Customer-provided content.
7.2 Company Design Files
Unless expressly agreed otherwise in writing, all editable, layered, production-ready, source, vector, template, and internal design files created or prepared by Carpas y Banderas remain the property of Carpas y Banderas.
Purchase of a Product does not automatically transfer ownership of:
-
source files;
-
editable artwork;
-
vector files;
-
production templates;
-
print layouts; or
-
internal production assets.
The Customer receives the final Product and any specifically agreed deliverables, not ownership of internal production files.
8. Proof Approval and Customer Responsibility
The Customer is solely responsible for carefully reviewing every Proof before approval.
The Customer must verify:
-
spelling;
-
grammar;
-
phone numbers;
-
websites;
-
social media information;
-
dimensions;
-
quantities;
-
colors;
-
logo placement;
-
artwork placement;
-
layout;
-
specifications; and
-
all other visible or stated details.
Once a Proof is approved, Carpas y Banderas may immediately begin production.
Carpas y Banderas is not responsible for errors that were included in an approved Proof.
Changes requested after approval may:
-
be impossible;
-
require a new Proof;
-
require additional payment; and/or
-
delay production or delivery.
8.1 Customer-Supplied Errors
Carpas y Banderas is not responsible for errors contained in Customer-provided artwork, files, text, measurements, specifications, or instructions.
Carpas y Banderas is not required to identify spelling, design, legal, trademark, technical, or other errors contained in Customer-supplied materials.
8.2 Color and Production Variations
Colors displayed on computer monitors, mobile devices, digital Proofs, photographs, and printed samples may vary from the final Product.
Reasonable variations in:
-
color;
-
shade;
-
brightness;
-
saturation;
-
print alignment;
-
material texture;
-
dimensions; and
-
manufacturing characteristics
do not constitute a defect.
Exact color matching is not guaranteed unless expressly agreed in writing and technically achievable through the applicable production process.
9. Production and Delivery Timelines
All production, shipping, and delivery dates are estimates unless expressly guaranteed by Carpas y Banderas in writing.
Production timelines begin only after:
-
required payments have cleared;
-
final Proof approval has been received;
-
all required artwork and information have been submitted; and
-
the Order is ready for production.
Carpas y Banderas is not responsible for delays caused by Customer changes, delayed approvals, missing information, payment delays, suppliers, carriers, customs, weather, labor shortages, material shortages, or other circumstances outside the Company's reasonable control.
9.1 Event Dates
The Customer is responsible for ordering sufficiently in advance of any event, festival, trade show, grand opening, sporting event, marketing activation, or other time-sensitive use.
Unless a delivery date is expressly guaranteed by Carpas y Banderas in writing, estimated delivery dates are not guarantees.
Carpas y Banderas is not responsible for losses arising from missed or delayed events.
10. Shipping, Delivery, and Risk of Loss
Shipping methods and carriers may be selected by Carpas y Banderas unless otherwise agreed.
The Customer is responsible for providing an accurate shipping address and contact information.
Carpas y Banderas is not responsible for delays, loss, theft, misdelivery, or other issues caused by inaccurate Customer-provided information.
Unless otherwise required by applicable law or expressly agreed in writing, risk of loss transfers to the Customer when the Product is delivered to the applicable carrier for shipment.
If the Customer requests shipment without signature confirmation, the Customer assumes the risk associated with the carrier marking the shipment as delivered.
11. Inspection, Damage, and Shortage Claims
The Customer must inspect Products promptly upon delivery.
Any claim involving:
-
shipping damage;
-
missing items;
-
shortages;
-
incorrect quantities; or
-
visible manufacturing defects
must be reported to Carpas y Banderas in writing within forty-eight (48) hours of delivery.
The Customer must provide reasonable supporting documentation, which may include:
-
photographs of the Product;
-
photographs of the packaging;
-
shipping labels;
-
videos; and
-
a description of the issue.
Failure to promptly report an issue may limit the Company's ability to investigate or pursue a claim with a carrier or supplier.
Nothing in this section eliminates rights that cannot legally be limited under applicable law.
12. Outdoor Product Safety and Assumption of Risk
Tents, canopies, flags, banners, and other outdoor display products may be exposed to hazardous conditions.
The Customer is solely responsible for proper:
-
setup;
-
installation;
-
anchoring;
-
weighting;
-
staking;
-
supervision;
-
inspection;
-
maintenance; and
-
weather monitoring.
Outdoor Products must not be left unattended when weather conditions may create a safety risk.
The Customer is responsible for discontinuing use and securing or removing Products when conditions become unsafe.
Failure to properly secure an outdoor Product may result in property damage, serious bodily injury, or death.
To the maximum extent permitted by law, Carpas y Banderas is not responsible for damage, injury, or loss resulting from:
-
wind;
-
storms;
-
rain;
-
snow;
-
lightning;
-
improper anchoring;
-
inadequate weighting;
-
misuse;
-
improper installation;
-
unattended use;
-
transportation;
-
accidents;
-
modifications;
-
failure to follow instructions; or
-
environmental conditions.
13. Product Use and Compliance
The Customer is responsible for determining whether a Product is appropriate for their intended use.
The Customer is responsible for complying with all applicable:
-
local laws;
-
safety regulations;
-
event requirements;
-
fire codes;
-
permit requirements; and
-
venue rules.
Unless specifically stated in writing, Carpas y Banderas does not guarantee that a Product satisfies every local, state, federal, event, venue, fire, or regulatory requirement applicable to the Customer's particular use.
14. Limited Warranty
14.1 Printed Fabric
Printed fabric components may carry a limited warranty of one (1) year against manufacturing defects, subject to the exclusions below.
14.2 Heavy-Duty Frames
Eligible heavy-duty aluminum tent frames may carry a limited lifetime warranty against structural manufacturing defects under normal and intended use.
"Lifetime" refers to the usable life of the Product as determined by Carpas y Banderas and does not guarantee replacement for the Customer's lifetime.
14.3 Warranty Exclusions
Warranty coverage does not include:
-
normal wear and tear;
-
fading;
-
scratches;
-
cosmetic damage;
-
improper storage;
-
transportation damage;
-
wind damage;
-
storm damage;
-
water damage;
-
corrosion;
-
misuse;
-
negligence;
-
accidents;
-
unauthorized modifications;
-
improper installation;
-
improper anchoring;
-
inadequate weighting;
-
commercial abuse;
-
third-party repairs; or
-
acts of nature.
14.4 Warranty Remedy
For an approved warranty claim, the Company's sole obligation and the Customer's exclusive remedy shall be, at Carpas y Banderas' discretion:
-
repair;
-
replacement of the affected component;
-
replacement of the affected Product; or
-
another remedy required by applicable law.
Carpas y Banderas may require photographs, videos, proof of purchase, return of the affected item, or other reasonable documentation before approving a warranty claim.
Shipping costs, labor, installation, removal, and other indirect costs may be excluded unless otherwise required by law.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARPAS Y BANDERAS SHALL NOT BE LIABLE FOR:
-
LOST PROFITS;
-
LOST REVENUE;
-
LOST BUSINESS;
-
BUSINESS INTERRUPTION;
-
MISSED EVENTS;
-
LOST OPPORTUNITIES;
-
DELAYED EVENTS;
-
REPUTATIONAL HARM;
-
CONSEQUENTIAL DAMAGES;
-
INCIDENTAL DAMAGES;
-
INDIRECT DAMAGES;
-
SPECIAL DAMAGES; OR
-
PUNITIVE DAMAGES.
THE CUSTOMER'S EXCLUSIVE REMEDY SHALL BE LIMITED TO THE REPAIR, REPLACEMENT, OR REFUND OF THE AFFECTED PRODUCT OR PORTION OF THE ORDER, AS DETERMINED IN ACCORDANCE WITH APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CARPAS Y BANDERAS ARISING FROM ANY CLAIM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
16. Force Majeure
Carpas y Banderas shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including:
-
acts of God;
-
natural disasters;
-
severe weather;
-
fire;
-
war;
-
terrorism;
-
civil unrest;
-
labor disputes;
-
strikes;
-
pandemics;
-
government actions;
-
supply chain interruptions;
-
supplier failures;
-
transportation interruptions;
-
customs delays;
-
port congestion;
-
material shortages;
-
utility failures;
-
carrier delays; or
-
other events beyond the Company's reasonable control.
Such events may result in revised production or delivery timelines.
17. Portfolio and Marketing Rights
The Customer retains ownership of their trademarks and original branding, subject to any rights they have granted to Carpas y Banderas.
Unless the Customer provides written notice before production begins, the Customer grants Carpas y Banderas a non-exclusive, worldwide, royalty-free license to photograph, display, reproduce, and use images or renderings of completed Products for:
-
portfolio purposes;
-
website display;
-
social media;
-
advertising;
-
marketing;
-
promotional materials; and
-
demonstrations of the Company's work.
Carpas y Banderas will not claim ownership of the Customer's trademarks solely because they appear on a completed Product.
18. Electronic Communications
The Customer agrees that electronic communications may be used for Order administration, Proof approval, invoices, notices, and other business communications.
The Customer is responsible for providing accurate and current contact information.
Carpas y Banderas may rely on communications reasonably believed to originate from the Customer or the Customer's authorized representative.
19. SMS and Marketing Communications
By voluntarily providing contact information, the Customer may receive transactional communications relating to an Order, including:
-
order updates;
-
payment reminders;
-
Proof notifications;
-
production updates;
-
shipping notifications; and
-
customer service communications.
Marketing messages will be sent only in accordance with applicable consent requirements.
Consent to receive marketing communications is not a condition of purchase.
Message and data rates may apply.
Customers may opt out of eligible SMS marketing communications by replying STOP or following other provided opt-out instructions.
20. Indemnification
To the maximum extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless Carpas y Banderas and its owners, employees, contractors, suppliers, and representatives from claims, liabilities, damages, losses, and expenses arising from:
-
Customer-provided artwork or content;
-
infringement claims related to Customer-provided materials;
-
misuse of Products;
-
improper installation;
-
improper anchoring or weighting;
-
unsafe use;
-
modifications made after delivery; or
-
the Customer's violation of applicable laws or these Terms.
21. No Guarantee of Specific Results
Except for express written warranties provided by Carpas y Banderas, Products and services are provided without guarantees regarding:
-
increased sales;
-
advertising results;
-
business performance;
-
event attendance;
-
marketing effectiveness;
-
suitability for a particular purpose; or
-
any specific commercial outcome.
22. Governing Law and Venue
These Terms shall be governed by the laws applicable to the Company's principal place of business, without regard to conflict-of-law principles.
Unless otherwise required by applicable law, any legal action arising from these Terms shall be brought in a court with proper jurisdiction over Carpas y Banderas or as otherwise required by applicable law.
Nothing in these Terms prevents either party from pursuing rights or remedies that cannot legally be waived.
23. Individual Dispute Resolution
To the extent permitted by applicable law, disputes shall be resolved individually and not as part of a class, collective, or representative action.
If any portion of this provision is found unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.
24. Modifications to These Terms
Carpas y Banderas may update these Terms from time to time.
The version of the Terms in effect at the time an Order is placed will generally apply to that Order, unless a modification is required by law or expressly accepted by the Customer.
Continued use of the Company's services after updated Terms become effective may constitute acceptance where permitted by law.
25. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
26. No Waiver
Failure by Carpas y Banderas to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
27. Entire Agreement
These Terms, together with the applicable invoice, quote, approved Proof, and any written agreements specifically accepted by Carpas y Banderas, constitute the entire agreement between the Customer and Carpas y Banderas regarding the applicable Order.
Any conflicting terms proposed by the Customer shall not apply unless expressly accepted in writing by an authorized representative of Carpas y Banderas.
